These Terms of Use ("Terms") govern your access to and use of websites, services, and products provided by The Golden Circle Consulting ("we," "us," "our"), including thegolden-circle.com, marketing.thegolden-circle.com, beautyhubpro.com, and any related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.
1. Who we are
The Golden Circle Consulting is a marketing agency and software provider serving skincare, med spas, and spas based in the United States. You can contact us at thegoldencircle.skincare@gmail.com or 385-474-2863.
2. Services
We provide marketing services (including paid advertising, search engine optimization, content creation, email/SMS automations, and website development) and software access (BeautyHubPro CRM, spa directory placement). Specific deliverables and pricing are described in your signed proposal or quote.
3. Eligibility
You must be at least 18 years old and authorized to bind the business you represent. By using the Services, you represent that you meet these requirements.
4. Payment terms
- Fees are billed monthly in advance unless otherwise agreed in your proposal.
- Payments are processed via credit card or ACH. You authorize us to charge the payment method on file.
- Late payments may pause Services after a 7-day grace period.
- Ad spend (Meta Ads, Google Ads, etc.) is billed separately and directly to your ad accounts. We do not mark up ad spend.
- Plans are month-to-month with no long-term contract unless explicitly agreed.
5. Cancellation
Either party may cancel with 14 days' written notice. Fees paid for the then-current billing period are non-refundable. Upon cancellation, we will return your data (client list, content assets) within 30 days of request.
6. Your responsibilities
- Provide accurate information about your business and respond promptly to onboarding requests.
- Maintain accurate contact information.
- Comply with applicable laws including FTC advertising guidelines, telemarketing rules (TCPA), CAN-SPAM, and any healthcare-specific regulations (HIPAA where applicable to your practice).
- Not use the Services to send unsolicited marketing without proper consent.
- Not impersonate any person or misrepresent your affiliation with any entity.
7. Intellectual property
You retain ownership of content you provide (logos, photos, treatment menus, copy you supply). We retain ownership of the underlying BeautyHubPro software, the Golden Circle directory, and any tools, templates, or systems we developed independently. Content we create specifically for your business under a paid engagement (ad creative, blog posts, websites) is licensed to you for unlimited use during and after the engagement, but the underlying templates and systems remain ours.
8. Results disclaimer
While we work to deliver measurable results, marketing outcomes depend on factors outside our control (market conditions, competition, ad platform policies, your operational execution). We do not guarantee specific bookings, revenue, or rankings. Past case study results do not guarantee future performance.
9. Third-party platforms
The Services rely on third-party platforms (Meta, Google, Resend, Firebase, Twilio, etc.) governed by their own terms. We are not responsible for changes to or outages of these platforms. You authorize us to manage your accounts on these platforms in accordance with your engagement.
10. Confidentiality
Each party will keep the other's confidential information confidential during and for two years after the engagement. Confidential information includes client lists, financial information, and proprietary processes — but not information that is publicly available or independently developed.
11. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Services will not exceed the fees you paid us in the three months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or revenue.
12. Indemnification
You will defend and indemnify us against third-party claims arising from your content, your business operations, or your violation of these Terms or applicable law.
13. Termination
We may suspend or terminate the Services if you breach these Terms, fail to pay, or use the Services for illegal purposes. Sections that by their nature should survive termination (payment obligations, intellectual property, limitation of liability, dispute resolution) will survive.
14. Changes
We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and notify active clients by email of material changes.
15. Governing law & disputes
These Terms are governed by the laws of the State of Utah, United States, without regard to conflict of law principles. Any dispute will be resolved by binding arbitration in Salt Lake County, Utah, under the rules of the American Arbitration Association. Each party waives the right to participate in a class action.
